These Terms of Service ("Terms") govern your access to and use of the website at proclaimpulse.com and the Pulse billing platform and related services (together, the "Service"), provided by Proclaim Pulse LLC ("Provider," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms work alongside our End-User License Agreement (EULA), which governs your license to use the Pulse software, and our Privacy Policy, which describes how we handle data. Where the EULA and these Terms address the same subject, the EULA governs your use of the software specifically.
The Service is intended for businesses and their authorized representatives. To use platform features, you may need an account. You agree to provide accurate information, to keep your credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use.

The Service integrates with third-party services, including Intuit QuickBooks Online, payment processors (Stripe, IPPay), tax determination (CereTax), and address validation (Smarty). Your use of those services may be subject to their own terms and privacy practices. We are not responsible for third-party services, and their availability or changes may affect the Service. References to third-party names and marks are for identification only and do not imply endorsement or partnership unless expressly stated.
The Service assists you in producing billing, tax, and accounting outputs, but you are responsible for reviewing and verifying those outputs and for your own regulatory, tax, and filing obligations. We provide tools and calculations (including through third-party engines such as CereTax); we do not provide legal, tax, or accounting advice, and outputs are not a substitute for professional advice.
The Service, including its software, design, text, and graphics, is owned by Provider or its licensors and is protected by intellectual property laws. Except for the limited license granted in the EULA, no rights are granted to you. You may not use our name, logo, or marks without our prior written permission.
You retain ownership of data you submit to the Service. You grant us the rights necessary to host and process that data to provide the Service, as described in the Privacy Policy. You are responsible for having the rights and consents needed to submit data, including third-party and end-user data.
We may modify, suspend, or discontinue features of the Service at any time. We may also update these Terms; material changes will be indicated by updating the "Last updated" date and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR, IF NO FEES WERE PAID, ONE HUNDRED U.S. DOLLARS).
You will defend, indemnify, and hold harmless Provider from third-party claims, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the Service in violation of these Terms, your violation of law, or your infringement of a third party's rights.
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that creates risk or legal exposure. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Nevada.
